1. Agreement to Terms

These Terms of Service (the "Terms") constitute a legally binding agreement between you and A.R.C Foundation Studios US ("A.R.C", "we", "us", or "our"). By creating an account, downloading any of our software, or accessing the Stardust Universe website, community, or related services (collectively, the "Services"), you agree to be bound by these Terms and all supplemental policies referenced herein. If you do not agree, you may not access or use the Services.

1.1 Eligibility

You must be at least 13 years old, or the minimum age required in your jurisdiction, to use the Services. If you are under the age of majority where you live, your parent or legal guardian must review and accept these Terms on your behalf. By using the Services, you represent that you have the legal capacity to enter into this agreement.

1.2 Changes to Terms

We may modify these Terms from time to time to reflect updates to the Services or applicable law. When changes are material, we will provide notice through the Services or by email. Your continued use of the Services after the effective date of any update constitutes acceptance of the revised Terms.

2. Accounts and Security

2.1 Account Registration

To access certain features, you must create an account and provide accurate, current, and complete information. You are responsible for updating your account information to keep it accurate and for maintaining the confidentiality of your credentials.

2.2 Unauthorized Use

You are responsible for all activities that occur under your account. Notify us immediately at legal@arcfoundationstudios.com if you suspect any unauthorized access or security breach. We reserve the right to suspend or terminate accounts that violate these Terms or present security risks.

3. Acceptable Use and Community Standards

When using the Services you agree to:

• Comply with all applicable laws and regulations.
• Respect the intellectual property, privacy, and rights of others.
• Refrain from using the Services to harass, threaten, or discriminate against individuals or groups.
• Avoid transmitting viruses, malicious code, or engaging in disruptive behavior such as spamming or data scraping.
• Follow all posted community guidelines, forum rules, and moderator directions.

We may remove content, suspend functionality, or ban accounts that violate these obligations.

4. Intellectual Property

4.1 Ownership

All content, software, and materials provided through the Services—including text, graphics, logos, audio, video, game assets, and code—are owned by A.R.C or its licensors and are protected by copyright, trademark, and other intellectual property laws.

4.2 Limited License

We grant you a personal, limited, non-exclusive, revocable, and non-transferable license to access and use the Services and downloadable software for personal, non-commercial use in accordance with these Terms and the End-User License Agreement ("EULA").

4.3 User Content

You retain ownership of content you upload or submit ("User Content"), but you grant A.R.C a worldwide, royalty-free, perpetual, irrevocable license to host, store, reproduce, modify, adapt, publish, translate, and display the User Content for operation, improvement, and promotion of the Services. You represent that you have all rights necessary to grant this license.

5. Purchases, Subscriptions, and Virtual Goods

Some features may require payment, including subscriptions, in-game currency, or virtual goods. All purchases are final and non-refundable except where required by law. Virtual goods have no monetary value outside the Services and cannot be transferred or exchanged for real currency. We reserve the right to change pricing, availability, and features associated with virtual goods or subscriptions.

6. Third-Party Services

The Services may integrate or link to third-party platforms, content, or payment processors. We do not control and are not responsible for third-party services. Your use of third-party services is subject to their terms and privacy policies.

7. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms, suspected fraudulent activity, or to comply with legal obligations. Upon termination, your license rights will immediately cease. You may terminate your account at any time by contacting support. Sections that by their nature should survive termination will remain in effect.

8. Disclaimers and Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, A.R.C, ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO A.R.C IN THE SIX MONTHS PRECEDING THE CLAIM OR (B) USD $50.

8.3 Indemnification

You agree to defend, indemnify, and hold harmless A.R.C and its affiliates from any claims, damages, liabilities, and expenses arising from your use of the Services, your User Content, or your violation of these Terms or applicable law.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally will be submitted to binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You and A.R.C waive the right to participate in class actions. Nothing herein prevents either party from seeking injunctive relief in court for intellectual property infringement or unauthorized access to the Services.

10. Miscellaneous

• If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force.
• We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
• Our failure to enforce any right or provision is not a waiver of that right.
• These Terms, together with any applicable policies (including the Privacy Policy and EULA), constitute the entire agreement between you and A.R.C regarding the Services.
